ALLGEMEINE GESCHÄFTSBEDINGUNGEN DER UNTERNEHMUNG

  1. Allgemeines und Geltungsbereich

1.1.

Die Unternehmung „die-umdenkerei.com“ (im Folgenden „Geschäftspartner“ genannt) ist ein Einzelunternehmen mit Sitz in Wien.

1.2.

Die Geschäftsbedingungen gelten für alle gegenwärtigen und zukünftigen Geschäftsbeziehungen. Der Geschäftspartner kontrahiert ausschließlich unter zu Grunde Legung dieser allgemeinen Geschäftsbeziehungen.

1.3.

Entgegenstehende oder von diesen Allgemeinen Geschäftsbedingungen abweichende Bedingungen des Kunden werden nicht anerkannt, es sei denn, der Geschäftspartner hätte ausdrücklich schriftlich ihrer Geltung zugestimmt.

Kunden im Sinne dieser Geschäftsbedingungen sind sowohl Verbraucher als auch Unternehmer (im Folgenden „Kunden“ genannt).

  1. Vertragsschluss

2.1.

Die Angebote des Geschäftspartners sind immer freibleibend. Änderungen der angebotenen Produkte in Form, Farbe und/oder Gewicht bleiben im Rahmen des Zumutbaren vorbehalten und berechtigen den Kunden weder zur Geltendmachung einer Preisminderung noch zur Geltendmachung anderer schadenersatzrechtlicher bzw. gewährleistungsrechtlicher Forderungen gegenüber dem Geschäftspartner.

2.2.

Mit der Bestellung der Ware erklärt der Kunde verbindlich, die bestellte Ware erwerben zu wollen. Die Annahme des Angebots (und damit der Vertragsabschluss) erfolgt nach Bestellung durch Bestätigung in Textform (z.B. E-Mail), in welcher dem Kunden die Ausführung der Bestellung oder Auslieferung der Ware bestätigt wird (Auftragsbestätigung). Die Annahme kann auch konkludent durch Übersendung der Ware erfolgen.

2.3.

Bei Vornahme einer Bestellung auf elektronischem Weg,  wird der Zugang der Bestellung durch den Geschäftspartner bestätigt. Eine solche Zugangsbestätigung gegenüber dem Kunden stellt jedoch keine verbindliche Annahme im Sinne des Punktes 2.2. dar.

2.4.

Der Kunde ist bei der Bestellung verpflichtet, wahrheitsgemäße Angaben zu machen. Sofern sich die Daten des Kunden ändern, insbesondere Name und Anschrift, E-Mail-Adresse, Telefonnummer, ist der Kunde verpflichtet, dem Geschäftspartner diese Änderung unverzüglich mitzuteilen.

2.5.

Sollte ein vom Kunden bestellter Artikel ausnahmsweise nicht lieferbar sein, oder die Lieferfrist über vier Wochen seit Bestätigung liegen, so teilt der Geschäftspartner dem Kunden den genauen Liefertermin mit, alternativ, dass die Lieferung nicht erfolgen kann. Der Geschäftspartner behält sich in einem solchen Fall das Anbieten einer Ersatzlieferung vor, wobei der Kunde nicht zur Geltendmachung eines Verspätungsschadens berechtigt ist.

  1. Eigentumsvorbehalt

3.1.

Der Geschäftspartner behält sich das Eigentum an der Ware bis zur vollständigen Begleichung aller Forderungen aus einer laufenden Geschäftsbeziehung vor.

3.2.

Der Kunde ist verpflichtet, die Ware bis zur vollständigen Bezahlung pfleglich zu behandeln.

3.3.

Der Kunde ist verpflichtet, dem Geschäftspartner einen Zugriff Dritter auf die Ware, etwa im Falle einer Pfändung, sowie etwaige Beschädigungen oder die Vernichtung der Ware unverzüglich mitzuteilen. Einen Besitzwechsel der Ware sowie den eigenen Wohnsitzwechsel hat der Kunde unverzüglich anzuzeigen.

3.4.

Der Geschäftspartner ist berechtigt, bei vertragswidrigem Verhalten des Kunden, insbesondere bei Zahlungsverzug vom Vertrag zurückzutreten und die Ware heraus zu verlangen.

3.5.

Der Geschäftspartner unterliegt überdies keinem Kontrahierungszwang und kann die Belieferung eines Kunden jederzeit verweigern.

3.5.

Ein Unternehmer (im Sinne des Konsumentenschutzgesetzes) ist berechtigt, die Ware im ordentlichen Geschäftsgang weiter zu veräußern. Er tritt dem Geschäftspartner in diesem Fall bereits jetzt alle Forderungen in Höhe des Rechnungsbetrages ab, die ihm durch die Weiterveräußerung gegen einen Dritten erwachsen. Der Geschäftspartner nimmt die Abtretung an. Nach der Abtretung ist der Unternehmer zur Einziehung der Forderung ermächtigt. Der Geschäftspartner behält es sich vor, die Forderung selbst einzuziehen, sobald der Unternehmer seinen Zahlungsverpflichtungen nicht ordnungsgemäß nachkommt und in Zahlungsverzug gerät.

  1. Rücktrittsrecht im Fernabsatz

4.1.

Ausschließlich der Verbraucher hat ein Rücktrittsrecht im Sinne des Konsumentenschutzgesetzes, sollte das Geschäft zwischen dem Verbraucher und dem Kunden im Fernabsatz geschlossen worden sein.

4.2.

Der Konsument kann von der Vertragserklärung innerhalb von zwei Wochen ohne Angabe von Gründen in Textform (z.B. per Brief, Fax oder E-Mail) oder durch Rücksendung der Ware zurücktreten. Das Rücktrittsrecht kann nur schriftlich und durch Rücksendung der Ware ausgeübt werden; zur Fristwahrung genügt die rechtzeitige Absendung.

4.3.

Der Verbraucher trägt die Kosten der Rücksendung und hat für eine ausreichende Frankierung und die ursprüngliche Transportverpackung zu verwenden.

4.4.

Der Geschäftspartner behält es sich vor, vom Verbraucher Wertersatz für eine durch die bestimmungsgemäße Ingebrauchnahme der Ware entstandene Verschlechterung zu verlangen. Der Verbraucher darf die Ware vorsichtig und sorgsam prüfen. Den Wertverlust – der durch die über die reine Prüfung hinausgehende Nutzung dazu führt, dass die Ware nicht mehr als neu verkauft werden kann – hat der Verbraucher zu tragen. Bei erheblichen Verschlechterungen kann dies bis zur Begründung des vollen Kaufpreises führen.

4.5.

Das Rücktrittsrecht besteht nicht bei für den Kunden angefertigten Sonderanfertigungen oder Waren, die wegen ihrer Beschaffenheit (z.B. aus hygienischen Gründen) nicht für eine Rücksendung/Weiterverkauf geeignet sind. Packs und Sets können nur vollständig retourniert werden.

  1. Vergütung

5.1.

Der für sämtliche angebotene Produkte und andere Leistungen (Punkt 13 und 14) genannte Kaufpreis ist bindend und versteht sich inklusive allfälliger Steuern. Beim Versendungskauf versteht sich der Kaufpreis zuzüglich der Versandkosten.

5.2.

Der Kaufpreis ist seitens des Kunden immer im Voraus zu leisten. Erst nach Erhalt des Kaufpreises wird die Ware versandt. Im Falle des Zahlungsverzuges werden gesetzliche Verzugszinsen sowie der durch die Mahnung entstehende zusätzliche Aufwand dem Kunden verrechnet.

5.3.

Der Kunde hat ein Recht zur Aufrechnung nur, wenn seine Gegenansprüche rechtskräftig festgestellt wurden oder durch den Geschäftspartner anerkannt wurden. Der Kunde kann ein Zurückbehaltungsrecht nur ausüben, wenn sein Gegenanspruch auf demselben Vertragsverhältnis beruht.

  1. Gefahrübergang

6.1.

Ist der Käufer Unternehmer, geht die Gefahr des zufälligen Untergangs und der zufälligen Verschlechterung der Ware mit der Übergabe, beim Versendungskauf mit der Auslieferung der Sache an den Spediteur, den Frachtführer oder der sonst zur Ausführung der Versendung bestimmten Person oder Anstalt auf den Käufer über.

6.2.

Ist der Käufer Verbraucher, geht die Gefahr des zufälligen Untergangs und der zufälligen Verschlechterung der verkauften Sache auch beim Versendungskauf erst mit der Übergabe der Sache auf den Käufer über. Der Übergabe steht es gleich, wenn der Käufer im Verzug der Annahme ist.

  1. Gewährleistung

8.1.

Soweit nicht anders gekennzeichnet sind die Produkte des Geschäftspartners ausschließlich für den äußeren Gebrauch bestimmt. Produkte des Geschäftspartners sind grundsätzlich nicht geeignet um auf offene Wunden, Hautekzeme oder dergleichen auftragen zu werden. Für damit zusammenhängenden Missbrauch wird seitens des Geschäftspartners keine Haftung übernommen.

8.2.

Für den Missbrauch von Kräutern, Wurzeln etc. übernimmt der Geschäftspartner keine Haftung. Die Produkte sind allesamt bestimmungsgemäß zu gebrauchen. Alle Produkte sind vor Kindern unzugänglich aufzubewahren.

8.3.

Es wird ausdrücklich darauf hingewiesen, dass der Geschäftspartner für den Erfolg der Anwendung bzw. für die erhoffte Wirkung des Produktes keinerlei Garantie/Haftung übernimmt.

8.4.

Erhält der Kunde eine mangelhafte Gebrauchsanleitung, ist der Geschäftspartner lediglich zur Lieferung einer mangelfreien Gebrauchsanleitung verpflichtet.

8.5.

Garantien im Rechtssinne erhält der Kunde durch den Geschäftspartner nicht. Herstellergarantien bleiben hiervon unberührt.

  1. Haftungsbeschränkungen

9.1.

Die Haftung des Geschäftspartners wird grundsätzlich auf Vorsatz und grobe Fahrlässigkeit beschränkt.

10.1.

Mit dem Kauf von Produkten des Geschäftspartners erwirbt der Kunde keine eigenen gewerblichen Nutzungsrechte an Logos oder den Marken des Geschäftspartners.

10.2.

Insbesondere ist der Kunde hierdurch nicht berechtigt, die mit erheblichem Produktions- und Kostenaufwand geschaffenen Produktfotografien und/oder Produkttexte, auch nur teilweise, zu kopieren zu verwenden und/oder verwenden zu lassen.

10.3.

Hierzu werden gesonderte Nutzungsverträge bereitgestellt, die mit ausgewählten Kunden abgeschlossen werden können. Ein Verstoß gegen das Nutzungsverbot wird in jedem Fall juristisch verfolgt. Hierbei behalten wir uns neben sonstigem Schadensersatz insbesondere vor, für die nichtberechtigte Verwendung entsprechende Lizenzgebühren zu erheben.

  1. Datenschutz

12.1.

Wenn der Kunde per Formular auf der Website oder per E-Mail Kontakt mit dem Geschäftspartner aufnimmt, werden die vom Kunden angegebenen Daten zwecks Bearbeitung der Anfrage und für den Fall von Anschlussfragen gespeichert. Diese Daten werden nicht weiter gegeben.

12.2.

Zum Zweck der Vertragsabwicklung werden folgende Daten vom Geschäftspartner gespeichert: Name und Anschrift, E-Mail-Adresse, Telefonnummer. Die vom Kunden bereit gestellten Daten sind zur Vertragserfüllung bzw zur Durchführung vorvertraglicher Maßnahmen erforderlich. Ohne diese Daten kann der Geschäftspartner den Vertrag nicht abschließen. Eine Datenübermittlung an Dritte erfolgt nicht, mit Ausnahme der Übermittlung der Kreditkartendaten an die abwickelnden Bankinstitute / Zahlungsdienstleister zum Zwecke der Abbuchung des Einkaufspreises, an das vom Geschäftspartner beauftragte Transportunternehmen/Versandunternehmen zur Zustellung der Ware sowie an den Steuerberater des Geschäftspartners zur Erfüllung der steuerrechtlichen Verpflichtungen.

Im Falle eines Vertragsabschlusses werden sämtliche Daten aus dem Vertragsverhältnis bis zum Ablauf der steuerrechtlichen Aufbewahrungsfrist (7 Jahre) gespeichert.
12.3.

Mit Angabe der Emailadresse stimmt der Kunde dem Versand/Erhalt von regelmäßiger Werbung/Produktinformation zu.

12.4.

Dem Kunden stehen grundsätzlich die Rechte auf Auskunft, Berichtigung, Löschung, Einschränkung, Datenübertragbarkeit, Widerruf und Widerspruch zu. Wenn der Kunde glaubt, dass die Verarbeitung der Daten gegen das Datenschutzrecht verstößt oder datenschutzrechtlichen Ansprüche sonst in einer Weise verletzt worden sind, kann der Kunde sich bei der Aufsichtsbehörde beschweren. In Österreich ist dies die Datenschutzbehörde.

  1. Energetische Beratung/Psychosoziale Beratung

13.1.

Die vom Geschäftspartner angebotene energetische Beratung beschäftigt sich mit der Aktivierung und Harmonisierung körpereigener Energiefelder. Die dazu vom Geschäftspartner angebotenen Kurse sowie Beratungen sollen ausnahmslos eine energetische Hilfestellung vermitteln, die unter Zuhilfenahme von Phantasiereisen, dem Feeling Code, Persönlichkeitsbildenden Maßnahmen, der Naikan Methodik und/oder Naturheilkindetechniken oder ähnlichen Methoden durchgeführt.

13.2.

Durch die psychosoziale Beratung soll dem Kunden in verschiedenen Lebensbereichen und Lebensphasen unter Einbezug ihrer persönlichen Ressourcen präventiv und entwicklungsorientiert Unterstützung zukommen, damit sie spezifische alltagsrelevante Kompetenzen entwickeln können.

1.3.3.

Die unter Punkt 13.1. und 13.2. genannten Leistungen stellen keine Heilbehandlung im Sinne des Ärztegesetzes sowie auch keine psychiatrische Behandlung dar. Diese sind auch kein Ersatz für solcher Art von Behandlungen und haben mit einer Therapie als eine kurative Intervention, die Behandlung, Heilung und Krankheitsbewältigung beinhaltet, Nichts gemein.

13.4.

Für die Wirkungsweise und den Erfolg der Beratungen wird seitens des Geschäftspartners keine Haftung übernommen bzw. wird vom Geschäftspartner kein Erfolg geschuldet. Es wird insbesondere darauf hingewiesen, dass ein Erfolg nicht vorhersehbar und auch nicht messbar ist.

13.5.

Sämtliche Aussagen und Ratschläge im Rahmen der Beratung sind als unverbindliche Ratschläge zu betrachten und stellen keine ärztliche Diagnose bzw. Heilbehandlung im Sinne des Ärztegesetzes dar und können eine solche nicht ersetzen.

  1. Lehrgänge

14.1.

Von dem Geschäftspartner werden regelmäßig Lehrgänge angeboten. Diese Lehrgänge verfolgen ein bestimmtes Ausbildungsziel, welches gesondert ausgeschrieben wird. Anmeldungen werden in der Reihenfolge ihres Eintreffens berücksichtigt unter Berücksichtigung verfügbarer Plätze. Anmeldungen werden nur in schriftlicher Form angenommen. Die Gültigkeit der schriftlichen Anmeldung ist verbindlich mit der Zusendung einer schriftlichen Anmeldebestätigung durch den Geschäftspartner.

14.2.

Das Entgelt für die Dienstleistung ist unmittelbar nach Erhalt der Anmeldebestätigung zu überweisen. Teilzahlungsmodalitäten werden in den Angebotsunterlagen angeführt und können vor Beginn der Dienstleistung mit dem Geschäftspartner schriftlich vereinbart werden.

14.3.

Für einen späteren Einstieg in einen Lehrgang wie auch bei einem vorzeitigen Ausstieg ist keine Ermäßigung vorgesehen bzw. ist bei einem vorzeitigen Ausstieg das Entgelt für den gesamten Lehrgang zu bezahlen.

14.4.

Stornierungen werden nur schriftlich akzeptiert. Kostenfreie Stornierungen sind bis 1 Monat vor Beginn des jeweiligen Lehrgangs möglich. Ab diesem Zeitpunkt bis 3 Tage vor Kursbeginn beträgt die Stornogebühr EUR 500,00. Danach fällt das gesamte Entgelt an.

14.5.

Die Höhe möglicher krankheitsbedingter Rückzahlungen, ist im Anlassfall mit dem Geschäftspartner schriftlich zu vereinbaren, ein gesetzlicher Anspruch auf einen Nachlass oder anteiligem Kostenentfall kann aus diesen Stornobedingungen nicht abgeleitet werden.

14.6.

Erfolgt die Buchung eines Lehrganges im Fernabsatz, steht dem Kunden im Sinne des KSchG ein gesetzliches Rücktrittsrecht im Sinne des Fernabsatzgesetzes binnen 14 Tagen gerechnet ab Vertragsabschluss zu. Dies gilt nicht für Veranstaltungen, die bereits innerhalb dieser 14 Tage ab dem Vertragsabschluss beginnen.

14.7.

Muss ein Lehrgang aufgrund dem nicht-Erreichen der Mindestteilnehmerzahl abgesagt werden, erfolgt eine abzugsfreie Rückerstattung von bereits eingezahlten Kursbeiträgen.

14.8.

Der Geschäftspartner behält sich vor, bei Vorliegen wesentlicher Gründe Kunden von einer weiteren Teilnahme auszuschließen. Gründe können sein: Destruktives Verhalten gegenüber Anderen, fehlende Kursbeiträge, Zahlungsverzug oder Handlungen die die Ausbildungsziele des Lehrgangs gefährden. Der Geschäftspartner behält sich in diesem Fall vor, TeilnehmerInnen vom Veranstaltungsbesuch auszuschließen und einseitig vom Vertrag zurück zu treten. Das Kursentgelt ist in diesem Fall aliquot rück zu erstatten.

14.9.

Es wird keine Haftung für persönliche Gegenstände der Kunden übernommen. Der Geschäftspartner haftet nicht für das persönliche Verhalten oder allfälliges Fehlverhalten der Kunden untereinander. Für Verletzungen, die im Zuge der unsachgemäßen Ausführung einer Übung durch die Kunden geschehen, wird seitens des Geschäftspartners keine Haftung übernommen. Aus der Anwendung der bei dem Geschäftspartner erworbenen Kenntnisse können keinerlei Haftungsansprüche gegenüber dem Geschäftspartner geltend gemacht werden.

14.9.

Lehrgänge können überdies auch als Fernlehrgänge gebucht werden. In diesem Fall wird dem Kunden nach der verbindlichen Buchung und Bezahlung das gesamte Kursmaterial auf einem Datenstick zugesandt. Bei Buchung im Fernabsatz erfolgt die Zusendung nach der gesetzlichen Rücktrittsfrist von 14 Tagen.

14.10.

Im Zuge einer verbindlichen Buchung vom Geschäftspartner übersandte Willkommenspakete können nicht mehr vom Kunden retourniert werden. Im Fall eines Rücktrittes/Stornierung gemäß Punkt 14.4 ist das Willkommenspaket umgehend zu retournieren. Wurde jedoch das Willkommenspaket bzw. darin enthaltene Waren bereits verwendet, so ist das gesamte Willkommenspaket bzw. dessen Gegenwert vom Kunden zu bezahlen. Dies auch bei teilweiser Verwendung.

  1. Schlussbestimmungen

15.1.

Es gilt das Recht der Republik Österreich. Die Bestimmungen des UN-Kaufrechts finden keine Anwendung.

15.2.

Als Gerichtsstand wird das sachlich zuständige Gericht des ersten Wiener Gemeindebezirkes vereinbart.

15.3.

Sollten einzelne Bestimmungen des Vertrages mit dem Kunden einschließlich dieser Allgemeinen Geschäftsbedingungen ganz oder teilweise unwirksam sein oder werden, so wird hierdurch die Gültigkeit der übrigen Bestimmungen nicht berührt. Die ganz oder teilweise unwirksame Regelung soll durch eine Regelung ersetzt werden, deren wirtschaftlicher Erfolg dem der unwirksamen möglichst nahe kommt.

We are committed to helping our customers meet the data subject rights requirements of GDPR. Be a Diamond processes or stores all personal data in fully vetted, DPA compliant vendors. We do store all conversation and personal data for up to 6 years unless your account is deleted. In which case, we dispose of all data in accordance with our Terms of Service and Privacy Policy, but we will not hold it longer than 60 days.

We are aware that if you are working with EU customers, you need to be able to provide them with the ability to access, update, retrieve and remove personal data. We got you! We've been set up as self service from the start and have always given you access to your data and your customers data. Our customer support team is here for you to answer any questions you might have about working with the API.

California Residents
